PrimeServe Terms and Conditions

1. Introduction

Welcome to PrimeServe Inc. (“PrimeServe,” “we,” “us,” or “our”).
PrimeServe operates an online platform that connects verified Personal Support Workers (PSWs), cleaning professionals, and other freelancers (“Service Providers”) with clients, families, and businesses (“Clients” or “Employers”).
By accessing or using our website, mobile application, or related services (collectively, the “Platform”), you agree to be bound by these Terms and Conditions (“Terms”).

If you do not agree, you may not use the Platform.


2. Our Purpose

PrimeServe exists to:

  • Provide safe, transparent, and convenient access to verified care and support professionals.
  • Offer qualified freelancers flexible, secure income opportunities.
  • Foster a community where quality service meets community trust.

3. Eligibility and Verification

  1. Freelancers / Service Providers must:
    • Be at least 18 years old and legally eligible to work in Canada.
    • Hold valid training, licensing, or business registration (sole proprietorship or corporation).
    • Complete PrimeServe’s interview and verification process, including ID check, credential validation, and reference review.
  2. Clients / Employers must:
    • Provide accurate identity and business information.
    • Complete a basic background and needs assessment interview before access.
  3. PrimeServe conducts verification to the best of its knowledge and ability. We act without prejudice or bias and in accordance with Canadian human-rights laws.
    • Verification outcomes are based solely on factual and professional criteria.
    • Approval or denial does not constitute discrimination of any kind.

4. Consent and Truthfulness

  • During the onboarding interview, all users provide verbal consent and acknowledgement that information submitted is accurate, complete, and truthful.
  • Any falsified or misleading information may result in immediate termination, suspension, or legal action (civil or criminal).
  • Users are solely responsible for all content they post or publish on their profiles or job listings.

5. Subscription Plans and Fees

  • Freelancers / Service Providers:
    • $10 monthly subscription fee for access to job listings, visibility, and support features.
  • Employers / Clients:
    • Tiered subscription plans ($49 – $499 per month) based on hiring volume and business size.
  • Transaction Fee: PrimeServe retains a 10% commission on each completed job or booking.
  • All fees are non-refundable unless required by law.
  • PrimeServe reserves the right to adjust pricing with reasonable notice.

6. Use of the Platform

Users agree to:

  • Use the Platform only for lawful purposes.
  • Maintain confidentiality of login credentials.
  • Refrain from harassment, discrimination, or unauthorized data collection.
  • Not circumvent PrimeServe’s system by working privately with contacts made through the Platform.

Violations may result in account termination and financial penalties.


7. Payments and Payouts

  • Clients pay PrimeServe directly for all services.
  • PrimeServe releases payments to freelancers once the Client confirms completion.
  • Service Providers may withdraw earnings once balances exceed $100.
  • All transactions are processed through secure, encrypted payment gateways and comply with Canadian financial regulations.

8. Liability and Warranties

  • PrimeServe acts as an intermediary platform, not as an employer of freelancers.
  • PrimeServe is not liable for direct or indirect damages arising from a user’s actions.
  • We make no warranty that services will meet all expectations but commit to reasonable care in maintaining a safe platform.
  • In cases of verified misconduct, PrimeServe may provide information to law enforcement.

9. Data Privacy and Security

  • All personal and financial data is protected under PIPEDA and industry best practices (SSL encryption, secure servers).
  • Data is collected only for verification, transaction processing, and service improvement.
  • Users may request data access or deletion in accordance with privacy law.
  • Any suspected breach will be investigated and reported per Canadian data-protection requirements.

10. Intellectual Property

All content, designs, software, logos, and materials belong to PrimeServe Inc. and may not be copied or reused without written permission.


11. Termination and Suspension

PrimeServe reserves the right to suspend or terminate any account that:

  • Provides false information.
  • Violates laws or these Terms.
  • Attempts to engage clients outside the platform.
    Termination may include reporting to regulatory or law-enforcement bodies where appropriate.

12. Dispute Resolution and Governing Law

  • Disputes will first be addressed through PrimeServe’s internal resolution process.
  • If unresolved, matters shall be referred to arbitration in Ontario, Canada, under Ontario law.
  • Users waive the right to class action proceedings to the extent permitted by law.

13. Disclaimer

PrimeServe makes no guarantees regarding specific job outcomes, income levels, or client satisfaction.
Users engage at their own risk but within a framework of reasonable safeguards and verification.
