PrimeServe Terms and Conditions

1. Introduction

Welcome to PrimeServe Inc. (“PrimeServe,” “we,” “our,” or “us”).

PrimeServe operates an online marketplace that connects verified Personal Support Worker (PSW) freelancers (“Service Providers”) with individuals, families, healthcare organizations, retirement residences, long-term care facilities, hospitals, and businesses seeking professional care services (“Clients” or “Employers”).

These Terms and Conditions (“Terms”) govern your access to and use of PrimeServe’s website, mobile application, and related services (collectively referred to as the “Platform”).

By accessing or using the Platform, you agree to comply with these Terms. If you do not agree, you must discontinue use of the Platform immediately.


2. About PrimeServe

PrimeServe is a technology platform designed to make finding qualified Personal Support Workers simple, transparent, and secure.

Our mission is to:

  • Connect Clients with verified PSW freelancers.
  • Provide independent PSWs with flexible and meaningful work opportunities.
  • Promote high standards of professionalism, dignity, and compassionate care.
  • Build a trusted community where quality care meets reliability.

PrimeServe is not a healthcare provider and does not employ Service Providers, unless otherwise stated in a separate written employment agreement.


3. Eligibility

Service Providers (PSW Freelancers)

To register as a Service Provider, you must:

  • Be at least 18 years of age.
  • Be legally authorized to work in Canada.
  • Hold valid Personal Support Worker qualifications or other credentials required under applicable provincial legislation.
  • Successfully complete PrimeServe’s verification process.
  • Maintain all required certifications throughout your use of the Platform.

Clients / Employers

To use PrimeServe, Clients must:

  • Be at least 18 years old.
  • Provide truthful and accurate information.
  • Use the Platform only for lawful purposes.
  • Cooperate with PrimeServe during the onboarding and verification process where required.

4. Verification Process

PrimeServe performs reasonable verification measures designed to enhance safety and trust.

Verification may include:

  • Government-issued photo identification
  • Employment eligibility
  • Credential verification
  • Professional certifications
  • Reference checks
  • Background screening (where permitted by law)
  • Interviews

Verification decisions are made objectively based on factual information.

PrimeServe complies with all applicable Canadian Human Rights legislation and does not discriminate based on race, religion, sex, age, disability, sexual orientation, gender identity, ethnicity, marital status, or any other protected characteristic.

Although we strive to verify users thoroughly, PrimeServe cannot guarantee the future conduct, competency, or performance of any individual.


5. User Responsibilities

All users agree that the information they submit is:

  • Accurate
  • Complete
  • Current
  • Truthful

Users must immediately notify PrimeServe if any information changes.

Providing false, misleading, or fraudulent information may result in:

  • Immediate account suspension
  • Permanent account termination
  • Cancellation of bookings
  • Legal action where applicable

Users remain solely responsible for the content of their profiles, resumes, certifications, job postings, reviews, and communications.


6. Subscription Plans and Platform Fees

PSW Freelancers

Service Providers pay a $10 monthly subscription to access:

  • Job opportunities
  • Profile visibility
  • Booking management
  • Client communication
  • Platform support

Clients / Employers

PrimeServe offers subscription plans ranging from $49 to $499 per month, depending on hiring requirements and platform usage.


Transaction Fee

PrimeServe retains a 10% platform service fee from every completed booking.

Fees help cover:

  • Platform maintenance
  • Verification
  • Customer support
  • Secure payment processing
  • Ongoing platform improvements

All subscription fees are non-refundable unless otherwise required under applicable Canadian law.

PrimeServe reserves the right to modify pricing upon reasonable notice.


7. Bookings and Payments

All bookings made through PrimeServe must be paid through the Platform.

Clients agree to:

  • Pay all applicable fees before services begin.
  • Confirm service completion promptly.

PrimeServe releases payment to the Service Provider after service completion has been confirmed.

Service Providers may request withdrawals once their available balance reaches $100 CAD.

PrimeServe uses secure third-party payment processors and does not store complete payment card information.


8. Platform Rules

Users agree that they will not:

  • Misrepresent themselves.
  • Harass or abuse other users.
  • Discriminate against any user.
  • Upload false certifications.
  • Share misleading information.
  • Attempt unauthorized access to the Platform.
  • Collect personal information without consent.
  • Circumvent PrimeServe by arranging private work with contacts introduced through the Platform.

PrimeServe reserves the right to investigate any misuse of the Platform.


9. Independent Contractor Relationship

Service Providers are independent freelancers.

Nothing contained within these Terms creates:

  • Employment
  • Partnership
  • Joint venture
  • Agency relationship

between PrimeServe and any Service Provider.

Service Providers are solely responsible for:

  • Taxes
  • CPP contributions
  • EI obligations (where applicable)
  • Insurance
  • Licences
  • Professional certifications

10. Limitation of Liability

PrimeServe provides a technology platform connecting Clients and Service Providers.

PrimeServe does not supervise or control the day-to-day services performed by Service Providers.

To the fullest extent permitted by law, PrimeServe shall not be liable for:

  • Personal injury
  • Property damage
  • Financial loss
  • Missed appointments
  • Service quality disputes
  • Loss of income
  • Indirect or consequential damages

Users assume responsibility for their own decisions when engaging with another user through the Platform.


11. Privacy and Data Protection

PrimeServe respects your privacy and complies with Canada’s Personal Information Protection and Electronic Documents Act (PIPEDA).

Information collected may include:

  • Identity documents
  • Contact information
  • Professional credentials
  • Payment information
  • Booking history

Information is collected solely for:

  • Identity verification
  • Platform security
  • Payment processing
  • Customer support
  • Service improvement
  • Legal compliance

Users may request access to or deletion of personal information where permitted by law.


12. Intellectual Property

All content available on PrimeServe, including but not limited to:

  • Logos
  • Branding
  • Website content
  • Software
  • Graphics
  • Icons
  • Images
  • Documents
  • Videos

remain the exclusive property of PrimeServe Inc.

No content may be copied, reproduced, modified, distributed, or used commercially without prior written consent.


13. Suspension and Termination

PrimeServe may suspend or terminate any account that:

  • Violates these Terms.
  • Provides false information.
  • Uses fraudulent documentation.
  • Circumvents the Platform.
  • Engages in harassment or illegal activity.
  • Places the safety of other users at risk.

PrimeServe may also cooperate with law enforcement agencies where legally required.


14. Dispute Resolution

PrimeServe encourages all disputes to be resolved through our internal dispute resolution process.

If a dispute cannot be resolved, it shall be submitted to binding arbitration in Ontario, Canada.

These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada.

Where legally permitted, users waive participation in class action proceedings.


15. Disclaimer

PrimeServe does not guarantee:

  • Employment opportunities
  • Minimum earnings
  • Number of bookings
  • Client satisfaction
  • Continuous availability of Services

PrimeServe makes reasonable efforts to maintain a secure, reliable, and professional Platform but cannot guarantee uninterrupted access or error-free operation.


16. Changes to These Terms

PrimeServe reserves the right to amend these Terms at any time.

Updated versions will be published on the Platform with the revised effective date.

Continued use of the Platform after changes become effective constitutes acceptance of the revised Terms.
